MyVirtualHome License Agreement This is a software license agreement (License) between you and Homesoft Pty Ltd ACN

143 100 001, incorporated in Queensland, Australia (Homesoft) for the softwa re product known as 'MyVirtualHome', which includes: - software and an editor that allow you to design, create, decorate, furnish and visualize your own house/dwelling design and plans; -all generic or branded products including 2-D textures and 3-D objects togethe r with their specific marketing, specification or application information; -all plug-ins or applications contained in the software that assist with various calculations, examples are quantity takeoff and air conditioning calculators; - all capabilities related to the capture of imagery from within the software; - all documentation relating to the software (whether in electronic or paper for m); - all other associated media (including artwork, sound files, music and video) i ncluded with the software or made available to you by Homesoft; and - all associated web sites, databases, e-commerce systems and profile systems; (together, the Software or MYVIRTUALHOME ). 1 IMPORTANT NOTE By using or continuing to use the Software, you agree to the terms of this Licen se. This License supersedes any previous software license agreement between you and Homesoft. Homesoft may amend the terms of this License from time to time an d will notify you on its website. YOUR RIGHT TO USE THE SOFTWARE IS CONDITIONAL UPON YOUR AGREEMENT TO THE TERMS O F THIS LICENSE. DO NOT USE THE SOFTWARE UNLESS YOU HAVE READ AND ACCEPTED ALL T HE TERMS OF THIS LICENSE. BY USING THE SOFTWARE, YOU WILL BE DEEMED TO HAVE ACC EPTED THE TERMS OF THIS LICENSE. IF YOU DO NOT ACCEPT THE TERMS OF THIS LICENSE, DO NOT CONTINUE TO USE THE SOFTWARE. 2 COPYRIGHT AND INTELLECTUAL PROPERTY 2.1 The Software is a copyright work that is protected by copyright laws and international copyright treaties. In addition, parts of the Software may be protected by registered patents in numerous jurisdictions around the world. The Software contains software protected by patents including, but not limited to, U .S. Pat. No. 6,866,587. 2.2 Ownership of, and title to all intellectual property rights, includin g patent, trademark, service mark, copyright, and trade secret rights, in the So ftware and related documentation are, and shall remain, in Homesoft and its lice nsors. 2.3 You only acquire the right to use the Software and related documentat ion under the terms of this License, and do not acquire any ownership rights. 3 GRANT OF LICENSE 3.1 Subject to the terms and conditions of this License, Homesoft grants to you a personal, non-transferable and non-exclusive license to install and use the Software for personal, non-educational and non-commercial purposes ONLY on any computer system in accordance with normal operating procedures. 3.2 You have no right to use the Software, in whole or in part, for any p urpose other than as specified in this License. The rights granted to you in th is clause 3 and clause 4 are your only rights in relation to the Software. 3.3 This License does not grant you any right to enhancements or updates to the Software, although Homesoft may make available such enhancements or updat es to the Software as it sees fit in its absolute discretion. 3.4 You must not: (a) de-compile, dissemble or otherwise derive the source code from the So ftware or any component of the Software; (b) reverse engineer or reverse compile the whole or any part of the Soft ware or any of the files that are used by the Software, or make any copies of th e Software (unless that copy of the Software specifically permits copying);

(c) modify, enhance, translate, alter, tamper with, upgrade or create der ivative works of the Software or the related documentation; (d) strip out or alter any trade mark, service mark, copyright, patent, t rade secret, ownership or any other proprietary or intellectual property notices , legends, warnings, markings or indications on or with any component of the Sof tware or the related documentation; (e) make any claim that is inconsistent with Homesoft s or its licensor s int ellectual property rights in the Software and related documentation; (f) use (or permit to be used) the Software for an illegal purpose; (g) rent, lease or lend-for-profit or otherwise make available to others (whether as a service or otherwise) the Software unless you have obtained Homeso ft's prior written consent; or (g) ensure that the Software is protected at all time from misuse, damage , destruction or any form of unauthorised use. 3.6 You are responsible for the supervision, management and control of th e use of the Software, and shall at all times comply with all applicable laws. In particular, you shall ensure that in using the Software, you do not breach an y other person s intellectual property rights. 3.7 The grant of the license set out in clause 3.1 is not and cannot be d eemed to be a sale, transfer or any other conveyance to you of Homesoft's tradem arks or any other intellectual property rights held or used by Homesoft. 3.8 The Software is comprised of a number of modules but is licensed as a single product. Its component parts may not be separated for use on more than o ne computer. 4 AUTHORIZED USE OF THE SOFTWARE 4.1 The rights granted to you under clause 3 are subject to the following authorized uses of the Software. 4.2 The Software allows you to create new copyright works (including but not limited to house plans and their 3D representations). Homesoft claims no own ership or claim over any new copyright works created using the Software; HOWEVER you may NOT use those works for an educational or commercial purpose of any typ e. Whether a purpose is educational or commercial is decided by Homesoft in its absolute discretion. 4.3 If you would like to use the Software or the works you create with th e Software for an educational or commercial purpose, please contact Homesoft reg arding an "educational" or "commercial use" version of the Software. 5 ONLINE INFORMATION 5.1 The Software is an online application and will need access to online (internet) databases and servers to obtain menus, interface elements, plug-ins, 2D and 3D assets and additional content. Using the Software will transmit data o ver the public internet. You and you alone, are liable for any charges incurred for such transmissions. Traffic sent over the internet is unencrypted unless oth erwise stated in the relevant area of the Software. 5.2 Homesoft may collect your email address and usage statistical data fo r analytical and marketing purposes. In addition, using the Software for a conn ection to the Homesoft online servers may cause data to be sent detailing variou s elements of information about your computer s hardware and software environment, which Homesoft will only use to improve the Software and services provided to y ou by Homesoft. You hereby acknowledge and consent to Homesoft collecting and us ing such information. Homesoft respects your privacy. Except as noted above an d in clause 5.5 during installation of the Software, Homesoft uses *NO* personal ly identifying information. 5.3 MyVirtualHome provides permission based systems for businesses to keep you informed of product and service information. If you want to be kept informe d and receive product and service information, your consent will be required. 5.4 Using the "Homesoft: HomeShare" portion of the Software, you can uplo ad files created with the Software to a central Homesoft server. These files can then be downloaded by other users of the Software. By uploading any file to the Homesoft servers or otherwise using the "Homesoft: HomeShare" portion of the So ftware, you:

(a) grant Homesoft an irrevocable, exclusive and perpetual license to hos t the uploaded files; (b) agree to Homesoft analysing the uploaded files for statistical and ma rketing purposes; (c) agree to Homesoft removing any file it deems (in its absolute discret ion) is inappropriate for public distribution, contains prohibited content (as d efined below), is too large or has not been downloaded or updated for a signific ant period (usually more than three months); (d) agree to not upload any files that are or contain prohibited content; (e) agree to provide Homesoft with information as to the public availabil ity of the uploaded files. In other words uploaded files will only be made publi cally available with your consent; and (f) agree to allow any user of the Software and/or the Homesoft website to download the uploaded files if the said user supplies the HomeShare code to t he Software. Homesoft does not check in any way the validity of users requesting the downloaded files once the HomeShare code has been supplied to the Software, and Homesoft has no knowledge or control over the use or intended use of the do wnloaded files. For the purposes of this License, prohibited content includes (but is not limite d to) files that are or contain obscene content, adult content, illegal content, corrupted data, viruses or non Homesoft approved executable computer code. 5.5 During installation of the Software, some users have experienced prob lems. To assist in diagnosing these problems, Homesoft has implemented a system that contacts the Homesoft servers during the installation process and sends dia gnostic data to the Homesoft server software. (a) By continuing with the installation of the Software, you acknowledge and agree to the Software (including its installation program) attempting to con tact Homesoft servers and sending installation progress data. (b) In addition to raw progress data, Homesoft reserves the right to send additional data on your PC and operating environment (such as available hardwar e).. 6 TERMINATION 6.1 Homesoft may terminate this License with immediate effect if you comm it what it considers to be a material breach of this License or at any time by n otice on its website. 6.2 Upon termination of this License, you must immediately cease any furt her use of the Software, and you must at your expense, return to Homesoft or des troy (at Homesoft's discretion) all copies of the Software in your possession or your control. 7 WARRANTY AND LIABILITY 7.1 The Software, and the information listed within, or generated by, th e Software is, in each case, provided "as is". To the fullest extent permitted by law, no warranties, whether express or implied, including, without limitation , the implied warranties of merchantability and fitness for a particular purpose , are made by Homesoft in relation to the Software and/or the information listed within, or generated by, the Software. 7.2 In no event will Homesoft or any of its directors, officers, employee s, contractors or suppliers be liable to you or any other person for any consequ ential or indirect loss, including without limitation, time, money, good will, l oss of custom, damage to reputation or lost profits, which may arise from, or in connection with, the use, operation, maintenance or modification of the Softwar e, any program created using the Software, and/or any information listed within, or generated by, the Software. 7.3 If Homesoft or any of its directors, officers, employees, contractors or suppliers are found to be liable to you, their liability is limited in all c ircumstances to one of the following options, as selected by them in their sole discretion: (a) resupply of the Software;

(b) supply of software with similar functionality; (c) refunding the amount (if any) you paid for the Software; (d) fixing the Software or arranging for the Software to be fixed (if app ropriate). 8 INDEMNITIES 8.1 You agree to indemnify Homesoft and its directors, officers, employee s, contractors and suppliers (each, an indemnified person) for all loss, damage, costs and expenses that an indemnified person may suffer or incur arising out o f, or in connection with, your use or misuse of the Software (and/or the informa tion listed within, or generated by, the Software) or in respect of any claim ma de, or action brought against, an indemnified person arising out of, or in conne ction with, your conduct or your use or misuse of the Software (and/or the infor mation listed within, or generated by, the Software). 8.2 Homesoft and its directors, officers, employees, contractors and supp liers do not and will not indemnify you for any loss, damage, costs or expenses that you may suffer or incur arising out of, or in connection with, your use or misuse of the Software (and/or the information listed within, or generated by, the Software), including any claim of intellectual property infringement relatin g to the Software or in respect of any claim made, or action brought against you arising out of, or in connection with, your conduct or your use or misuse of th e Software (and/or the information listed within, or generated by, the Software) . 8.3 When you are using the information listed within, or generated by, M YVIRTUALHOME (whether creating an image or plan, designing, selecting, matching , specifying, estimating, quoting, or otherwise) and before you communicate or contract with others using or relying on that information, you acknowledge and agree that you will independently verify (and will not use or rely on without i ndependently verifying) that information. Homesoft does not warrant, and is not responsible for verifying, the accuracy or correctness of any such information. 9 GENERAL 9.1 You shall not assign or transfer any of your rights or obligations un der this License without Homesoft s prior written consent. 9.2 No waiver of any breach of this License will be deemed to be a waiver of any other or any subsequent breach. The failure of any party to enforce any provision of this License will not be interpreted as a waiver of the provision. 9.3 If any provision of this License is invalid or unenforceable, the rem aining provisions will not be affected and will continue in full force. 9.4 This License constitutes the complete and exclusive statement of the agreement between the parties, superseding all proposals or prior agreements, or al or written, and all other communications between the parties relating to the subject matter of this License. 9.5 This License is governed by and construed in accordance with the laws of Queensland, Australia and by using the Software you submit to the exclusive jurisdiction of the courts of Queensland, Australia and their courts of appeal.
