CONTINUING BYLAWS OF THE LEGISLATIVE DISTRICT TWO REPUBLICAN PRECINCT COMMITTEEMEN

ARTICLE I - NAME AND MEMBERSHIP Section A - The name of the organization shall be the "Legislative District 2 Republican Precinct Committeemen, hereinafter called the "District." Section B - The District shall be affiliated with the Republican Parties of Pima, and Cochise Counties, and the State Republican Party Committee of Arizona. Section C - These Bylaws are created to govern the District in accordance with Arizona Revised Statutes 16-823 Legislative district committee; organization; boundary change; reorganization. Section D - The membership of the District shall consist of all duly elected and appointed precinct committeemen residing within the district.

ARTICLE II OBJECTIVES 1. To support and elect qualified Republican candidates at all levels of government who promote and reflect Republican philosophy and ideals. 2. 3. 4. 5. 6. To register electors in the Republican Party and assist them on voting days. To foster loyalty to the Republican Party and promote its philosophy and ideals. To promote an informed electorate through political education. To develop, maintain and support a permanent Republican precinct organization. To hold elected Republicans accountable to the principles of the Republican Party.

7. To encourage volunteering and participation in campaigns and to seek out qualified committeemen to fill every allotted seat.

ARTICLE III - DISTRICT OFFICERS Section A - Officers. 1. Composition - The elected officers shall be a Chairman, First Vice-Chairman, Second ViceChairman, Secretary and Treasurer (The Secretary and Treasurer positions may be held the same person.) 2. Qualifications Each officer (and any interim replacement officer) for chairman or one of the two vice chairmen shall be selected among those precinct committeemen elected from the District at the time of the organizational election who have continued as committeemen until the day of their appointment. It is desirable to have at least one of these officers be from a different county (Pima or Cochise). If no elected precinct committeeman desire to be a candidate then appointed precinct committeeman become eligible to be elected as officers in any election. Appointed precinct committeemen may not run for the same office as an elected precinct committeeman. 3. Election Officers shall be elected no earlier than the 2nd Saturday after the General Election and no later than the 1st Saturday in December of the same General Election year. 4. Term of Office - Officers shall serve until the next organizational election provided that they are reelected as precinct committeemen at the preceding Primary Election. The most senior re-elected officer shall preside at the organizational meeting until the new District chairman is elected. If there are no officers remaining, the Pima County chairman or designated representative shall preside. Section B - Appointments Committee Chairmen All Committee Chairmen, with the exception of the Nominating Committee Chairman, shall be appointed by the District Chairman, serve at the pleasure of the District Chairman and must be District precinct committeemen. The Nominating committeemen shall elect by a majority vote their Committee Chairman and so maintain a panel impartial from the District Chairman.

ARTICLE IV - NOMINATIONS AND ELECTIONS Section A - Elections

Organizational Elections - At the organizational meeting called pursuant to A.R.S. 16-823, only the elected precinct committeemen of the District shall meet in person or by proxy to form the District in accordance with Article III, A. Special Elections In special elections, not an organizational election, necessary to replace a District Officer, both elected and appointed Precinct Committeemen are eligible to vote in person or by proxy. Section B - Voting Voting shall be conducted by secret ballot except when only one nominee is being considered for an office, in which case the election may be made by acclamation. Section C - Election Procedures 1. The District Secretary shall certify the total number of eligible electors, as of the call to order, to the membership present, and to the chairman who, finding no objection shall file the report. 2. The Nominating Committee shall present its report to the chairman, who finding no objection to the presentation, shall file the report. 3. Upon filing the Nominating Committee's report, the voting shall proceed in the following manner: a. The Nominating Committee Chairman shall explain the following paragraphs in this section for the benefit of newly elected precinct committeemen who may be unfamiliar with these bylaws. b. District officers shall be elected in the following sequence: the Chairman; the First Vice-Chairman; the Second Vice-Chairman; the Secretary; and the Treasurer. Nominations from the floor shall be entertained immediately prior to the balloting for each office. c. Each candidate for office shall be allowed a maximum of three (3) minutes total for nominating and seconding speeches. d. The candidate receiving the highest total number of votes shall be declared the winner. The vote count for each candidate shall be made public to the membership present, upon completion of the election. In the event that two or more candidates tie for the highest total votes a runoff election of those tied candidates shall ensue.

ARTICLE V - DUTIES of ELECTED OFFICERS Section A - District Chairman shall have powers of supervision and management as may pertain to the office of Chairman or shall be assigned by the Executive Committee, and

Coordinate with Pima and Cochise Republican Party county chairmen.

2. Be an ex-officio member of each and every county executive committee of each and every county in which a plurality of the districts voters reside (A.R.S. 16-823); 3. Except for the nomination chairman, appoint all committee chairmen as needed, such as finance, voter registration and information technology as well as assigning the duties of the various committees; 4. Be an ex-officio member of all committees. Section B - First Vice-Chairman - shall: 1. Perform duties as assigned by the District Chairman or by the Bylaws of the District;

2. Perform the duties of the District Chairman during an absence of the Chairman or in the event of a vacancy until the vacancy is filled; 3. Serve as the District Program and Resolution chairman.

Section C - Second Vice-Chairman - shall: 1. Perform duties as assigned by the District Chairman or by the Bylaws of the District;

2. Perform the duties of the District Chairman during an absence of both the Chairman and the First Vice-Chairman; 3. Serve as the Membership, Precinct Committeemen Appointment and Training Chairman for the District. Section D - Secretary - shall: 1. Keep minutes of all meetings of the District and the Executive Committee; 2. Transmit all notices and calls for meetings no later than ten (10) days before the meeting date; 3. Keep a current roster of the District membership and records of all meeting attendance. Section E - Treasurer - shall: 1. Receive all monies provided for the District and be the custodian of all funds received,

Disburse funds as necessary to satisfy legally incurred debts; Maintain financial records for all transactions of the District;

4. Maintain the Secretary of State financial reporting software and submit the required reports; 5. Provide financial reports as requested

6. Make public to the membership no less than four times per year the adopted budget, district balance sheet, income statement, the sources of revenue, and a list of disbursements. 7. The Treasurer shall deliver all official records in his possession to his successor within ten days of the expiration of his term.

ARTICLE VI - MEETINGS & QUORUM Section A - Quorum - A quorum shall exist when fifteen percent (15%) of the precinct committeemen eligible to vote at the called meeting, are present in person or by proxy. Section B - Meetings - No fewer than six (6) regular District meetings shall be held annually. Section C - Special Meetings 1. The Chairman may call special meetings.

2. The Secretary shall send a notice of a special meeting of the District upon receiving written requests from at least one-fourth () of the District precinct committeemen. 3. The Chairman may call a special meeting of the Executive Committee and Precinct Captains. 4. The Secretary shall call a special meeting of the executive committee upon receiving written requests from at least three executive members.

ARTICLE VII - COMMITTEES Section A - Executive Committee - Shall consist of the elected officers of the District, and the immediate past District Chairman. The Executive Committee shall conduct overall business of the district, approve the annual budget, and formulate proposals and programs to be presented to the membership. The committee shall meet at least quarterly. If the past District Chairman is not currently

an elected PC of this legislative district, he or she shall be a non-voting member of the Executive Committee. Section B - Nominating Committee - Shall be appointed by the chairman at least 60 days prior to the District organizational meeting or 15 days prior to a special election meeting. The duties of the Nominating Committee are: 1. 2. 3. To elect the Nominating Committee chairman. To canvas the membership for qualified nominees for all District elective offices. To canvas the membership for nominees to the office of Arizona State Committeeman.

4. To present a written report in the form suitable for use as a ballot at the District organizational meeting. 5. To present the list of nominees for the office of Arizona State Committeeman to the Chairman for forwarding to the Pima County Chairman, 6. The Nominating Committee shall be dissolved upon adjournment of the organizational or special meeting.

ARTICLE VIII - MEMBERSHIP ORGANIZATION Section A - Precinct Committeeman - Elected or appointed, must be a registered Republican elector living within the precinct (A.R.S. 16-822). 1. Vacancies are created by death, resignation, when a precinct committeeman changes his political party from the Republican Party or when a precinct committeeman moves from the precinct from which elected or appointed. A vacancy also occurs when the total allowed number of precinct committeemen is not elected at the Primary Election. 2. The Board of Supervisors of the county shall determine when a vacancy exists and fill the vacancy within the permissible time frame as allowed by State Statute, with the person either nominated by the appropriate county chairman or by a committee set up by the county party organization for that purpose. The District Chairman may provide a written recommendation to the appropriate county chairman. Section B - Duties of Precinct Committeemen - shall include, but are not limited to: 1. Voting in person or by proxy at each district and county party election, as allowed by State Statute. 2. Assisting the Republican Party in voter registration.

3. Assisting and encouraging Republican voters to vote on Election Day. 4. Work within their precinct to provide electors with candidate information to elect Republican candidates. Section C - Precinct Captain. The precinct committeemen of each precinct may meet and elect from among their number a Precinct Captain. Duties of the Precinct Captain shall include: 1. Assisting Precinct Committeemen and workers within their precinct on Election Day; 2. Recruiting precinct committeemen;

Section D - Vacancy of District Chairman. 1. In the case of a vacancy in the office of District Chairman which occurs during the period between the primary election and the organizational meeting of the District, the vacancy shall be filled by the first vice chairman until the organizational meeting. 2. When a vacancy in the office of District Chairman occurs after the organizational meeting and before the primary election a special meeting will be called by the District Executive Committee within 45 days of the vacancy to elect a new District Chairman with a special meeting election. The Executive Committee shall choose the election meeting location. The Executive Committee will invite a disinterested person to moderate the election of the new District Chairman. The Secretary will transmit the call at least ten (10) days prior to the election. Such vacancy shall be filled by a majority vote of the Districts eligible electors provided a quorum is present, in person and by proxy. Notice of such election and a proxy form shall be mailed at least ten (10) days prior to such a meeting. Section E - Other District Offices In the case of a vacancy in an office of the District Committee, District Chairman excepted, such vacancy shall be filled by a majority vote of the District at a regularly scheduled meeting at which a quorum is present, in person or by proxy. Notice of such election and a proxy form shall be mailed at least ten (10) days prior to such a meeting. Section F - Removal of District Officers 1. Two months after the Organizational Meeting an elected District Officer may be considered for removal from office for cause. 2. Removal shall commence by the submission of a petition clearly listing the indictment/charges which is signed by ten percent (10%) of the membership to the

First-Vice Chairman, or if there is a conflict of interest, to the Second ViceChairman. 3. The remaining portion of the Executive Committee will review the petition and must select an impartial committee to conduct an investigation into the charge(s). The Investigative Committee must present their written findings and a recommendation to the remaining Executive Committee. If the remaining Executive Committee find the charge(s) to have significant validity, a hearing of the accused will be conducted in accordance with the section of Roberts Rules of Order pertaining to Disciplinary Procedures. 4. If the charges are substantiated, a call will be submitted to the membership for consideration and action. The Secretary will transmit the call at least ten (10) days prior to the meeting. The District Officers proposed removal must be set forth as one of the items of business in the notice of the call of a mandatory or special meeting of the District committee members. 5. Thirty percent of the elected and appointed precinct committeemen of the District committee who are present in person or by proxy at the mandatory or special meeting shall constitute a quorum. 6. The District Officer may be removed by a vote of two-thirds of the elected and appointed precinct committeemen of the District committee and present in person or by proxy.

ARTICLE IX - PARLIAMENTARY AUTHORITY Section A - Unless stated herein, the most current edition of Robert's Rules of Order published at the time of the most recent organizational meeting shall govern proceedings in all cases to which they are applicable until the next organizational meeting.

ARTICLE X - AMENDMENT OF BYLAWS Section A - Any precinct committeemen may propose an amendment to these bylaws, by submitting the proposal(s) to the Resolution Chairman. The Resolution Chairman must present all proposals to the executive committee, within 60 days of receipt, but may also provide recommendation, analysis, and alternative proposals. If approved by a majority vote of the District Executive Committee, the proposed amendment shall then be published and explained to the District membership as soon as practical. Section B All proposals must receive an up or down vote by the Executive Committee, as submitted, within 60 days of receipt from the Resolutions Chairman. The approval of the amendment by the

Executive Committee shall be considered a motion for adoption. After any discussion, the amendment shall be put to a vote of the membership, and if adopted by a vote of two-thirds (2/3) of the quorum present in person or by proxy, the amendment shall become effective upon adjournment of the meeting at which it is adopted.
