Guru Herbs Guru Herbs is launching a range of herbal products including capsules, oils & Herbal Tea. Guru Herbs wishes to engage with Lumium for the design of the packaging for their products. The design activity will be to create graphics for the following: Label Graphics for the bottles Box Graphics for the Teas Labels Graphics Pouch & Tea Bag Graphics for Box for supplements (capsules)

The product variants will be as below: 21 capsule based supplements 4 herbal Oils 7 specialist teas 10 flavored teas 8 instant teas

The level of Packaging for each product Box for teas Inner pouch for tea-bags Small tag (attached to tea bag) Sachet for instant teas Box for capsule based products Label to stick outside plastic bottles for the supplements & oils Note.:

The teas are in 3 categories (specialist, flavor and instant) the design needs to be distinct yet carry a common element of being from the Guru Herbs product range. Tea boxes + design for boxes are required separate for all 3 categories Project Quote: Phase Packaging Graphics Project Team Members 2 Graphic Designer Project Cost (lacs) 2.75 + service tax

Please Note 1. All other project expenses including project related travel if any shall be billed on actual. 2. The current scope is for release of art work files, Lumium can undertake printing co-ordination at an extra cost 3. Any additional adaptation will be charged separately with prior approval of Guru Herbs.

Payment Schedule: 25% as advance 25% on concept approval 35% on final artwork 15% After production support Terms & Conditions: Scope. Altering the scope with reference to this document will vary development quote and time. Maximum two revisions will be given for each deliverable of the project. A separate quote will be given if scope with reference to this document is changed. Timeline. The client is expected to give timely approvals during each phase of the project. Failure to do so will increase project development time. Payment Modes: Bank Draft or Direct Transfer Taxes. Any & all taxes if applicable will be extra. Content. All text, images, policies, content etc will be provided by client. The client will specifically provide the following documents. Supporting Materials. To the extent client possesses such items and to better enable LUMIUM to develop the project, client agrees to provide LUMIUM any photographs, videos, samples, models, conceptual renderings or any other device or image embodying the product features. Client Materials and Ownership. Client shall own all work product delivered to him or her in connection with the Product Development Services. Client may retain and use all brochures, research and other materials generated on Clients behalf. Project Start. The project will commence at such time as (1) both parties hereto have signed this Agreement and (2) LUMIUM has received the Fee (or such portion of the fee as agreed to by the parties) in accordance with Section Project Details. In the event Client is late in the payment of all or any part of the Fee, LUMIUM can, at its sole discretion, chose to delay or suspend the performance of the Services until such payment is received. Entire Agreement. This agreement, including all schedules and attachments attached hereto, contains the entire understanding between the parties with respect to the services to be provided by LUMIUM, and no representation, statements or inducements, either oral or written, not contained herein shall bind either party. Indemnification. Client shall indemnify, defend and hold harmless LUMIUM, its affiliates and each of their respective officers, directors, equity holders, employees and agents, against any and all claims, suits, losses, liabilities, damages, costs, fees and expenses resulting from or arising, directly or indirectly, out of any untruth, inaccuracy, misrepresentation or breach of the representations made by Client. Execution. The parties have carefully read this Agreement and by signing it agree to be bound by its terms and conditions.
