Handyman Contract

This Contract for Services is made effective as of June 14, 2012, by and between Sandy's Day Care ("Sandy's Day Care") of 123 Main St., Mill Valley, California 94941, and Peter R. Olsen ("Peter Olsen") of 35 Palm Circle Dr., Corte Madera, California 95422. In this Contract, the party who is contracting to receive the services shall be referred to as "Sandy's Day Care", and the party who will be providing the services shall be referred to as "Peter Olsen". Contractor desires to provide Handyman services to Owner and Owner desires to obtain such services from Contractor. THEREFORE, in consideration of the mutual promises set forth below, the parties agree as follows: DESCRIPTION OF SERVICES. Beginning on June 14, 2012, Peter Olsen will provide to Sandy's Day Care the services described in the attached Exhibit (collectively, the "Services"). The requested services will be completed at 60 Arthur St., San Rafael, California, 94901. PAYMENT FOR SERVICES. Sandy's Day Care will pay compensation to Peter R. Olsen for the Services in the amount of $1,500.00. This compensation shall be payable in a lump sum upon completion of the Services. TERM/TERMINATION. This Contract shall terminate automatically on April 17, 2012. MATERIALS AND SUPPLIES. a. Contractor shall furnish all materials and equipment necessary to perform the services described in this Contract with the exception of items which the Contractor specifically notifies and requests be supplied by the Owner. All parts, building materials and other supplies necessary to complete the services will be at the Owners cost. All specialized equipment and tools necessary to complete the project should be provided by the Contractors at the Contractors expense. b. All materials supplied by the Owner shall remain the property of the Owner. c. Where the Contractor supplies materials and the Contract does not include the supply of the same, the Contractor shall provide invoices to show the extent of supply and the Client is bound by this contract to reimburse the Contractor in the sum stated on the invoices submitted. RELATIONSHIP OF PARTIES. It is understood by the parties that Peter R. Olsen is an independent contractor with respect to Sandy's Day Care, and not an employee of Sandy's Day Care. Sandy's Day Care will not provide fringe benefits, including health insurance benefits, paid vacation, or any other employee benefit, for the benefit of Peter R. Olsen.

COMPLIANCE WITH APPLICABLE STATUTES, ORDINANCES, AND REGULATIONS. In performing the services required of it under this contract, Contractor shall comply with all applicable federal, state, county, and city statutes, ordinances, and regulations. INSURANCE. Contractor, at its own cost and expense, shall procure and maintain throughout the term of this contract a workers' compensation insurance policy for the protection of its employees engaged in work under this contract. INJURIES. Sandy's Day Care acknowledges Sandy's Day Care's obligation to obtain appropriate insurance coverage for the benefit of Peter R. Olsen (and Peter R. Olsen's employees, if any). Sandy's Day Care waives any rights to recovery from Peter R. Olsen for any injuries that Peter R. Olsen (and/or Peter R. Olsen's employees) may sustain while performing services under this Contract and that are a result of the negligence of Sandy's Day Care or Sandy's Day Care's employees. ENTIRE AGREEMENT. This Contract contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written concerning the subject matter of this Contract. This Contract supersedes any prior written or oral agreements between the parties. SEVERABILITY. If any provision of this Contract will be held to be invalid or unenforceable for any reason, the remaining provisions will continue to be valid and enforceable. If a court finds that any provision of this Contract is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision will be deemed to be written, construed, and enforced as so limited. APPLICABLE LAW. This Contract shall be governed by the laws of the State of California. Client: Sandy's Day Care
