License Agreement for the BioniX Wallpaper Changer WE ARE WILLING TO LICENSE THE SOFTWARE IDENTIFIED BELOW TO YOU

ONLY UPON THE CON DITION THAT YOU ACCEPT ALL OF THE TERMS CONTAINED IN THIS BINARY CODE LICENSE AG REEMENT AND SUPPLEMENTAL LICENSE TERMS (COLLECTIVELY "AGREEMENT"). GRANT OF LICENSE The software and documentation accompanying this License, whether on disk, in re ad only memory, or on any other media (the "Software"), are licensed to you by B ioniXWallpaper. BioniX Wallpaper retains title to the Software and related documentation. PERMITTED USES AND RESTRICTIONS You may use the software according to the restrictions imposed by BETA MODE, TIM E-LIMITED TRIAL USE, or REGULAR USE as described herein. You may not decompile, reverse engineer, disassemble, modify, rent, lease, loan, sublicense, distribute or create derivative works based upon the Software in w hole or part or transmit the Software over a network or from one computer to ano ther, or permit others to use the Software through the Internet or similar mecha nisms. Your rights under this License will terminate automatically without notice from BioniX Wallpaper if you fail to comply with any term(s) of this License. BETA MODE In Beta mode there is no warranty about the quality of the results produced by B ioniX Wallpaper. Beta mode is intended only to show you the capabilities of Bion iX Wallpaper. In Beta mode the software might contains undocumented bugs. We ass ume *NO* responsibilities at all for this mode. You are not allowed to use the r esults for commercial purposes or to publish them without our explicit permissio n. TIME-LIMITED TRIAL USE TIME-LIMITED TRIAL LICENSE MAY DISABLE CERTAIN FUNCTIONS OF THE SOFTWARE. If you are using BioniX Wallpaper Changer SOFTWARE with a time limited trial lic ense, you may use the Software for evaluation and trial use purposes only on a s ingle computer until the Expiration Date. After the Expiration Date, you may not continue to use the Software. You are not allowed to use the results for commercial purposes or to publish them without o ur explicit permission. REGULAR USE Use of BioniX Wallpaper Changer SOFTWARE in REGULAR MODE requires a valid Licens e for each computer that the software is used on. For each License you have purc hased from BioniXWallpaper or its authorized distributors, you may install the S oftware on a single computer, and make one copy (CD/DVD) of the Software in mach

ine-readable form for backup purposes. At any point in time, the total number of concurrent users of the software is li mited to the number of Single User Licenses or Concurrent Use Licenses you purch ased. For each License you will be provided with an UnlockKey, which is valid fo r the original hardware configuration in the moment of installation. Any hardware upgrade may render the UnlockKey invalid and BioniX Wallpaper Chang er SOFTWARE will cease to function or switch to trial mode. In such a case you h ave to request another UnlockKey from BioniXWallpaper, which is free of charge. However, we reserve the right not to grant another UnlockKey in the case in whic h we suspect illegitimate use of the UnlockKeys (see 'Stolen Keys' paragraph). The purchase of a License includes six months* (this amount may change) of techn ical support and all updates until the release of the next major version. REFUND POLICY Since BioniX Wallpaper is distributed as TRIAL software, it follows that in the moment of acquisition you are aware of the full features provided within. Theref ore, after the acquisition of BioniX Wallpaper, NO REFUND will be made to you by BioniXWallpaper. COPYRIGHT All copyrights in and to the Software and any copies thereof are owned by BioniX Wallpaper. WARRANTY DISCLAIMER BioniXWallpaper EXPRESSLY DISCLAIMS ANY WARRANTY FOR BioniX Wallpaper Changer SO FTWARE. BioniX Wallpaper Changer SOFTWARE AND ANY RELATED DOCUMENTATION IS PROVI DED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OR MERCHANTABILITY, FITNESS FOR A PA RTICULAR PURPOSE, OR NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF THE USE OR PERFORMANCE OF THE SOFTWARE REMAINS WI TH YOU. DISCLAIMER OF DAMAGES TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT WILL BioniXWallpaper OR ITS LIC ENSORS BE LIABLE FOR ANY LOST REVENUE, PROFIT OR DATA, OR FOR SPECIAL, INDIRECT, CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES, HOWEVER CAUSED REGARDLESS OF THE THEORY OF LIABILITY, ARISING OUT OF OR RELATED TO THE USE OF OR INABILITY TO US E SOFTWARE, EVEN IF BioniXWallpaper HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. In no event will BioniXWallpaper's liability to you, whether in contract, tort ( including negligence), or otherwise, exceed the amount paid by you for BioniX Wa llpaper Changer SOFTWARE under this Agreement. The foregoing limitations will a pply even if the above stated warranty fails of its essential purpose. Some stat es do not allow the exclusion of incidental or consequential damages, so some of the terms above may not be applicable to you. TERMINATION BioniXWallpaper may terminate the right to use the Software on notice to you (wh ich may be delivered electronically by the same means as the license for BioniX Wallpaper Changer SOFTWARE is distributed), and you may terminate this License a t any time by destroying or erasing your copy of the BioniX Wallpaper Changer SO FTWARE. Upon termination of this License, you must discontinue all use of the BioniX Wal lpaper Changer SOFTWARE and remove BioniX Wallpaper Changer SOFTWARE from your s ystem.

STOLEN KEYS The UnlockKeys we provide you are tagged with your name. If your key is stolen f rom your computer or if you specifically give it/borrow it to a 3rd party and it become public, then it will be listed in our 'Stolen keys' database. BioniX Wallpaper will refuse to work with a key listed in the 'Stolen keys' data base and we reserve the right to end the contract with you. GENERAL This License will be construed under the laws of the Romanian state, except for that body of law dealing with conflicts of law. If any provision of this License shall be held by a court of competent jurisdict ion to be contrary to law that provision will be enforced to the maximum extent permissible and the remaining provisions of this License will remain in full for ce and effect. Any conflict shall be solved in the above-mentioned country. COMPLETE AGREEMENT This License constitutes the agreement between the parties with respect to the u se of the BioniX Wallpaper Changer SOFTWARE and supersedes all prior or contempo raneous understandings regarding such subject matter. No amendment to or modific ation of this License will be binding unless in writing and signed by us.
