About the Event


This workshop is intended for the entrepreneur who is considering starting a Silicon Valley business or a
China-related business. The basic steps, documents, timing and issues involved in forming a company will
be discussed. The workshop will identify and discuss each of the documents (articles of incorporation, board
organizational resolutions, by-laws, founders stock purchase agreements, etc.) required to complete the
formation of a corporation.
Topics covered will include:
* Selecting the place of incorporation
* Basics of initial capitalization
* Allocation of stock among founders
* Determining vesting schedules for founders
* Size and composition of the Board of Directors
* Adopting and using stock option plans
* Avoiding intellectual property issues at startup
