History
The Hotels Statler Company was acquired in 1954 for $111,000,000 in what was then the world's largest real estate transaction. Separated its international operations into a separate traded company on December 1, 1964. Subsequently, Trans World Corp., the holding company for Trans World Airlines, acquired Hilton International Co. in 1967. In 1986, UAL Corp., the holding company for United Airlines acquired Hilton International Co. from Trans World and changed its name to Allegis Corp. as it attempted to re-incarnate itself as a full service travel company encompassing Westin Hotels and Hertz rental cars in addition to Hilton International and United. In 1987 after a corporate putsch, the newly renamed UAL Corp. sold Hilton International to Ladbroke Group, a British leisure and gambling company, which in May 1999 adopted the new moniker Hilton Group plc. Hilton Hotels Corporation is recognized around the world as a preeminent lodging hospitality company, offering guests and customers the finest accommodations, services, amenities and value for business or leisure. Owning hotels. Hilton owns such unique, irreplaceable hotel assets as New York's

Waldorf=Astoria, The Hilton Hawaiian Village on Waikiki Beach, Chicago's Palmer House Hilton and the Hilton San Francisco on Union Square. These large-scale properties occupy the best locations in the nation's best markets.

Our rich history begins in 1919 when Conrad Hilton purchased his first hotel in Cisco, Texas. Since then, our Family has continued to grow. Innovation

Corporate Governance
The Board of Directors of Hilton Hotels Corporation (the Company), acting on the recommendation of its Corporate Governance and Nominating Committee, has developed and adopted a set of corporate governance principles (the Guidelines) to promote the functioning of the Board and its committees and to set forth a common set of expectations as to how the Board should perform its functions. The board mission and director responsibilities say that the business and affairs of the Company shall be managed by or under the direction of the Board in accordance with Delaware law. In performing their duties, the primary responsibility of the directors is to exercise their business judgment in the best interests of the Company and its stockholders. The guidelines say about commitment and attendance, participation in meetings, loyalty and ethics, contact with management, etc. The issues like the composition of board, process for selecting the chairman and directors, executive compensation and board compensation are also discussed. The Board, acting through the Corporate Governance and Nominating Committee, should conduct a self-evaluation at least annually to determine whether it is functioning effectively. In performing its functions, the Board is entitled to rely on the advice, reports and opinions of management, counsel, accountants, auditors and other expert advisors.

Hilton International acquired by TWA, Conrad Hilton continues as chairman of the board. 1970 :- Hilton becomes the first NYSE-listed company to enter the domestic gaming business with the purchase of the Las Vegas Hilton and the Flamingo Hilton. Hilton International opens first property in Asia: The Hilton Singapore. 1995 :- Hilton enters cyberspace as www.hilton.com is launched. Computer users worldwide can now make room reservations and find out about hotel programs and special offers 24 hours a day. 1999 - Hilton Hotels Corporation acquires Promus Hotel Corporation in a $3.7 billion 2001 - Hilton Group plc purchases Scandic Hotels, the leading hotel operator in the Nordic Region. 2002 - Hilton International enters into the all-inclusive market with the launch of Hilton Worldwide Resorts and, via an agreement with Coral Hotels & Resorts (CHR) of the Dominican Republic, a new brand is called Coral by Hilton. 2003 - The Hilton Family of Hotels announces that, through a proprietary, common technology platform called OnQ, it will take customer loyalty to a new level within the hospitality industry. 2006 - Hilton Hotels Corporation acquires the lodging assets of Hilton Group PLC for 5.7 billion reuniting the brands international and North American operations.
