Condition Precedent an event that must occur before a contract comes into existence or an obligation under the contract arises. If the event fails to occur, there will either be no contract or the obligation will not arise.

Exemption Clauses
Interpretation of an exemption clause is to be determined by construing the clause according to its natural and ordinary mea ning, read in the light of the contract as a whole, thereby giving due weight to the context in which the clause appears, including the nature and object of the contract, and, where appropriate, construing the clause contra proferentem in the case of ambiguity. At common law, the court has no absolving power and cannot refuse to enforce a valid exemption clause even where it operates unreasonably.
