An important function of SEC is

incorporation of companies .
Task entrusted with the Registration
Department of the Commission and
its eight field offices CROs
(Company Registration Offices) at
Karachi, Sukkur, Multan, Faisalabad,
Lahore, Islamabad, Peshawar and
Quetta .

INCORPORATION OF A
COMPANY. (Contd..)

Any three or more persons associated for

any lawful purpose , by subscribing their
names to the Memorandum of Association
and complying with the requirements of
the Ordinance may form a public company.
Any one or more persons so associated in
the like manner may form a private
company.
In case of one member forming a private
company, it is called a single member
company.

PROCEDURES FOR
INCORPORATION.

Step 1: Seek availability of name u/s 37.

Step 2: Filing of documents for registration,

Memorandum and Articles of Association.

Copy of NIC or passport , of each subscriber and witness
to the M&AA.
Form 1 (Declaration of compliance with the requirements
of the Companies Ordinance,1984).
Form 21 (Notice of situation of registered office or of
any change therein.
Form 29 (Particulars of directors or any change therein).
Form -27 for public company (list of directors consenting
as directors)
Form- 28 for public company (consents of directors.
Form-S1 for single member company only. (nomination of
directors.).
Copy of paid challan or pay order in favor of SEC for
registration fee as prescribed under the Sixth Schedule of
the Companies Ordinance, 1984.
