About ADI Global Distributions Spinoff

• As you know, Homes, which includes the Global Distribution business (ADI), will be
spinning off from Honeywell to become an independent company named Resideo.
We expect the spin to be completed by the end of 2018.

• Following the spin, we will be an independent, public company that will continue to
invest in our channel partners, while also providing elegantly designed products
with the functionality and solutions our customers have come to expect.

• We continue to work with trusted brands for temperature and humidity controls,
thermal heating, water and air, and security and awareness.

• We’ll also remain a top global distributor of security, fire and other low-voltage
products.
