 Role of the Board of Directors
• Approve the “Corporate Social Responsibility Policy” for the
company after considering the recommendations made by the
CSR Committee;
• Disclose the contents of the company’s CSR Policy in the
Board Report and shall display the same on the company’s
website;
• Ensure that the activities included in the CSR Policy of the
company are undertaken by the company;
• Ensure that the company spends at least two per cent (2%) of
the average net profits of the company made during the three
immediately preceding financial years in every financial year;
• Ensure that preference is given to the local area and areas
around it where it operates, for spending the amount
allocated for CSR activities;
 Role and Responsibilities of the
Committee
• In terms of section 135 of the Companies Act, 2013 read with the Companies (Corporate Social
Responsibility Policy) Rules, 2014, , the following are key responsibilities of the CSR Committee is
to:
• Formulate CSR policy and recommend the same to the Board for its approval;
• Be responsible for identification, selection, approval, planning, execution, supervision, co-
ordination and monitoring of various programmes/projects and activities under CSR;
• Recommend the CSR activities/projects and the amount to be expended on such
activities/projects, to the Board that the company will undertake during the relevant financial
year;
• Monitor the implementation of the CSR activities/projects from time to time;
• Institute a transparent monitoring mechanism for implementation of the
projects/programmes/activities undertaken or proposed to be undertaken by the company;
• Interact with the Governmental and Non – Governmental Bodies as and when required in
relation to implementation of CSR activities/projects under this Policy;
• Receipt of Utilization Certificates along with Statement of Expenditure, duly certified by the
Chartered Accountant of repute, by the organizations/institutions to whom CSR Fund is
allocated/by whom CSR Fund is spent;
• Review performance of the company in the area of “Corporate Social Responsibility” and decide
the priority of the activities to be undertaken;
• Ensure that the conduct of the CSR Policy is in line with the overall “Sustainability Objective”
 Constitution of CSR Committee
The composition of the CSR committee of the
Board is as under:
• Chairman of the CSR Committee: The Managing
Director of the company shall act as the Chairman
of the CSR Committee; and
• Number of Member Directors: The CSR
Committee shall consist of at least two directors.

Magic Bus India Foundation
• Project Description
Connects the aspirations and potential of young people to
existing or new market opportunities. Supporting around 400
youths in Chennai at Shenoy Nagar Center and Chengalpattu
Center. Program focuses on skill development in basic computer,
spoken English and is aimed at providing livelihood opportunities
for youth.

• Project Description
Construction of 24 (twenty four) new houses for financially
poor people living in Anjur, Thenmelpakam villages around
Company’s Plant at Chennai. Currently they are living in kuccha
houses and endeavour has been made for reducing inequalities
faced by socially and economically backward groups.
 BMW Children’s Traffic Safety
Education
• (CTSE) is a BMW expert CSR program that targets
children’s road safety in China, and aims to
improve children and adults’ road safety
awareness through simulation-based learning,
fixed experiential center adventures, new media
as well as other interactive teaching methods
that combine playing and learning.
• Leveraging its core competencies to respond to
the society’s hottest topics, BMW became a
pioneer – creating the first and longest-running
children’s road safety CSR program in China.
 Care 4 Water
• Since 2016, BMW Financial Services and Waves
for Water have brought water filters to rural areas
of Thailand.
• This simple and inexpensive solution helps
improve water quality and ensures people have
access to clean water.
• A large number of employees in Thailand are
involved in the project and have already been
able to provide 320 families with a filter system
for clean water

• In July 2017, BMW Children’s Traffic Safety Education
program received the Excellent CSR Project award from
the Ninth China Annual Summit for Corporate Social
Responsibility initiated by Southern Weekly.
• In July 2017, BMW received the Best Corporate Social
Responsibility of 2016 Top 500 Global Enterprises’
Contribution in China award from the Ninth China
Annual Summit for Corporate Social Responsibility
initiated by Southern Weekly.
• In September 2017, BMW China Culture Journey
program won the Award of “Best PR Campaign - China”
in PR Awards 2017.
 Amendment in CSR Policy
• Any or all provisions of the CSR Policy would
be subject to revision/amendments by the
Board of Directors of the company based on
the recommendations of the CSR committee
in accordance with the Companies Act, 2013
and rules made thereunder.
• The company reserves the right to modify,
cancel, add, or amend any of the provisions of
CSR policy stated herein above.
