resident of ____________________________________________________, Philippines,
hereinafter referred to as the VENDOR;

W I T N E SS E T H:
That the VENDOR is the registered owner of a Water Refilling Station business at
Enrile Boulevard, Carig Sur, Tuguegarao City, Cagayan, and more particularly
described as follows;

That the VENDEE offered to buy and the VENDOR agreed to sell the said water
refilling station and all fixtures, furnishings, equipment and accessories being used in
its operation and as described above as well as any and all rights and interest
appertaining thereto as describe above;
Now therefore, for and in consideration of the sum of Three Hundred Fifty
Thousand (350, 000), Philippine currency, the VENDOR hereby SELLS, TRANSFERS
and CONVEYS unto the VENDEE by way of ABSOLUTE SALE, to his heirs and assigns,
the WATER REFILLING STATION BUSINESS as well as any all rights and interest
appertaining thereto in the following manner;
1. That the liabilities of the Water Refilling Station prior to February 29, 2020 shall be
borne solely by the VENDOR and that the subject property is exempt from any
actions that may arise from the said liability of the vendor;
2. That the liabilities of the Water Refilling Station that may arise on February 29,
2020 and after shall be borne solely by the VENDEE;

3. That the checks to be issued by any person, company or government agency in favor
of the VENDOR as payment for supplies from the water station beginning March 1,
2020 shall be for the sole account of the VENDEE.
4. That the VENDOR has no authority to collect the checks mentioned in the last
preceding paragraph;
5. That the proceeds, however, of the checks mentioned in paragraph 3 shall be used
as payment of lease rentals of the water refilling station, electric bills and water bills;
6. That any excess in the payment of the lease rentals, electric bills and water bills
shall be given to the VENDEE;
8. That the VENDOR hereby warrants that the subject property is free from any liens
and encumbrances in favor of any person or entity whatsoever.
9. That the VENDOR shall warrant and defend valid title to, and peaceful possession
of the subject property herein conveyed unconditionally to the VENDEE, against all
claims, prior or existing, of any persons and entities, and it agrees to defend valid
title against all judicial or administrative actions;
IN WITNESS WHEREOF, the parties have hereunto set their hands this
