Товарищество с ограниченной
ответственностью «ПК МПК Алтай» (ТОО
«ПК МПК Алтай»), г.Усть-Каменогорск,
Казахстан, именуемое в дальнейшем
«Покупатель», в лице директора Долгих
Владимира, действующего на основании
Устава, с одной стороны и Компания с
ограниченной ответственностью Компания
«Товарищество с ограниченной
ответственностью "Aktobe Lift 04 (Актобе
Лифт 04)"», Казахстан, именуемое далее
«Продавец», в лице Генерального директора г-
на ЯКУБОВА БАХТИЯРА
ЗАКИРЖАНОВИЧА, действующего на
основании Устава с другой стороны, вместе
«Стороны», заключили Договор купли-
продажи (далее – Договор).
Limited company “PC MPC Altaij” (PC
MPC Altaij.Ltd.), Ust-Kamenogorsk,
Kazakhstan, hereinafter referred to as
"Buyer", in the person of Director
Mr.Dolgikh Vladimir, acting on the basis of
the Charter, on the one hand and the Limited
Company «Aktobe Lift 04 (Aktobe Lift 04) »,
Kazakhstan, hereinafter referred to as
"Seller", in the person CEO Mr. YAKUBOV
BAKHTIYAR SAKIRJANOVIC on the basis
of the Charter of the company on the other
hand, together hereinafter referred to as the
“Parties” have entered into this Contract of
sale (hereinafter the Contract).

1. ПРЕДМЕТ ДОГОВОРА 1. SUBJECT of the CONTRACT

Этот Договор заключен между Продавцом и
Покупателем, согласно которому Продавец
соглашается продать и Покупатель обязуется
купить упомянутые ниже товары в
соответствии с условиями и требованиями
данного Договора. Продавец обязуется
поставить Покупателю продукцию из меди
(далее - продукция), а Покупатель принять и
оплатить в порядке и сроки по Договору:
 Медь в виде медного лома проволока-
прокат Cu: 99,9 – 99.99% - продукт № 1.
Медный лом согласно коду ISRI «Блеск» мин.
Содержание Cu -99,9%
Продавец гарантирует, что на момент
заключения Договора продукция получена
законным путём, в споре и под арестом не
состоит, не является залогом и не обременена
другими третьими лицами.
This Contract is made by and between the
Seller and the Buyer, whereby the Seller
agrees to sell and the Buyer agrees to buy
the undermentioned goods on the terms and
conditions accorded on this contract. The
Seller shall deliver the products to Buyer of
copper (further are the products) and the
Buyer to accept and pay for the order and
period stipulated in this Contract:
 Copper wire Scrap –Wire - Millberry scrap
Cu:99,9 – 99,99% Cu:99,9% - product No.1.
Copper Srap according to ISRI code “Shiny
millberry” min. Cu – content 99,9%.
The seller ensures that at the time of the
Treaty the products are obtained legally, in
dispute and arrest is not, is not a pledge and
is not burdened by other third parties.

Количество всей поставляемой продукции
по договору определяется как сумма
поставленных партий, но не более:
 Продукция №1 - 2000 тонн.
Количество и номенклатура продукции в
каждой отдельной партии определяется на
основании отдельной Заявки Покупателя (PR)
на каждую партию. Форма PR приведена в
приложении №1.
Количество продукции, поставляемой
Продавцом, в каждой отдельной партии по
фактическому весу может отклоняться от
указанного в заявке Покупателя, но не более
чем на ± 10%. В противном случае это
отклонение улаживается путем переписки
между Покупателем и Продавцом
Продавец гарантирует, что товар по данному
Договору, строго и полностью соответствует
положениям технических условий и стандартов
изготовителя.
Качество продукции подтверждается
сертификатами качества Продавца. Если
Сторонами не оговорено особо, то для
продукции №1 качество должно
соответствовать техническим требованиям,
указанным в Приложении №2 к настоящему
Договору. Методы контроля и процедура
испытания согласно ГОСТ 1639-2009
В сертификатах качества указывается:
• наименование продукции;
• номер партии;
• масса нетто партии;
• масса брутто партии;
• химический состав;
• дата изготовления;
Компания SGS/ASi/CCIC или другая дважды
проверяет количество и качество продукции:
 перед отправкой
Это необходимый и решающий документ для
погрузки и отгрузки товара.

shipments during time valid the Contract.
The entire number of products deliver for
the during time valid of the Contract shall be
as on the sum separate shipments, but no
more:
 Products No. - 2000 tons.
The quantity and range of products in the
each separate shipment is determined on
the basis of a separate Procurement request
(PR) of Buyer for each delivery. The form of
the PR is in appendix No.1.
The quantity of products supplied by the
Seller in each separate shipment on the
actual weight may vary from the specified in
the Procurement request of the Buyer, but
not more than ±10%. Otherwise, this
deviation is being solved through contacts
between the Buyer and the Seller.
The Seller guarantees that the goods under
the Contract, strictly and fully comply with
the technical conditions and standards of the
manufacturer.
2.5. The quality of the products is
confirmed by the Certificates of Customer
quality. If the Parties are not specifically
stipulated, the quality for Product No.1
must meet the technical requirements
specified in Annex 2 of this Contract.
Control methods and testing procedure
according to GOST 1639-2009
Quality certificate must have the
information:
• name of the product;
• lot number;
• net weight of the lot;
• gross weight of the lot;
• chemical composition;
• date of manufacture;

ЦЕНА И СУММА ДОГОВОРА
Цена продукции
Цена продукции устанавливается в долларах
США (USD) за 1 (одну) тонну.
Цена в долларах США за тонну:
Цена продукта
 №1 – цена меди на Лондонской Бирже
Металлов (ЛБМ) минус 1900 USD;
Цена продукта устанавливается на условиях
поставки FCA грузовая железнодорожная
станция Актобе, код ЕЦП 667909, Казахстан в
соответствии с Incoterms 2010. Стоимость
товара в каждой отдельной партии
согласовывается Сторонами в запросе
покупателя на закупки (Приложение 1)
Цена на продукцию, обозначенная в Заявке на
продукцию, действует на срок полного
исполнения Заявки.
Общая стоимость поставленной продукции по
Договору есть сумма стоимости всех партий,
поставляемых по Заявкам Покупателя, но не
более чем 15000000 (пятнадцать миллионов)
USD.
УСЛОВИЯ ОПЛАТЫ
Оплата за продукцию в тенге РК.
Покупатель оплачивает стоимость продукции в
следующем порядке.
Покупатель в Заявке на поставку продукции
пересчитывает цену с доллара США в тенге РК
по курсу Нацбанка РК на дату подачи Заявки.
Общая сумма по PR определяется в KZT
умножением цены в тенге на объём продукции
в PR.
Сумма будет выплачиваться в размере 100% от
стоимости поставленных продуктов в каждой
партии на основании Счета Продавца, в
соответствии с Запросом Покупателя на
закупку посредством транзакции SWIFT.

THE PRICE AND THE AMOUNT OF THE
CONTRACT
Product price
Product price is set to United States dollars
(USD) for 1 (one) a ton.
Product’s price is USD per ton:
The price of Product:
 No.1 – price Copper on London Metal
Exchange (LME) minus 1900USD;
The price of the product is set on the terms
of delivery FCA of the Aktobe freight railway
station, code ECP 667909, Kazakhstan
according to Incoterms 2010. Cost of goods
in each separate shipment shall be agreed
upon by the Parties in the Procurement
Request of Buyer (Appendix 1)
The price for the products in the
Procurement request is valid for a period of
execution of the Procurement request.
The total cost of the products delivered
under the Contract is the sum all of the
values of the separate shipments supplied on
all Procurement requests of the Buyer, no
more than 15000000 (fifteen million) USD.
TERMS OF PAYMENT
4.1 Payment for products made in KZT.
The Buyer pays the cost of the products in
the following order:
4.2.1 The buyer in the Procurement request
for the supply of products recalculates the
price from the U.S. dollar (USD) in the tenge
of the Republic of Kazakhstan (KZT) at the
rate of the National Bank of Kazakhstan on
the date of the Procurement request.
The total amount tenge is the factum of the
price on the volume of products in PR..
4.3. The amount will be payed of 100% of the
value of the delivered products in each
shipment on according Invoice of Seller, in
accordance with the Buyer’s Procurement
Request by transaction by SWIFT.
4.4. Payment must be made within 30 days

Если результат контроля качества и
количества товара показывает, что он не
соответствует требованиям договора,
продавец должен забрать товар за свой счет
или заменить товар, либо стороны
согласятся о новой цене
Если в течение трёх недель с момента
выставления претензии Покупателем,
Продавец не принимает никакого решения,
Покупатель реализует товар без оплаты
продавцу.
Частичные отгрузки и перегрузки допускаются.
4. СРОК ПОСТАВКИ
Поставка продукции производится
отдельными партиями в течение срока
действия Договора.
Объем каждой партии, сроки поставки
оговариваются дополнительно между
Продавцом и Покупателем путем
факсимильной переписки или по электронной
почте, и указывается в Заявке на продукцию.
(приложение №1 к договору).
Поставка продукции осуществляется в течение
срока, указанного в Заявке.
УСЛОВИЯ ДОСТАВКИ
Доставка продукции осуществляется любыми
видами транспорта на условиях Incoterms 2010.
Продавец передаёт проверенный по
количеству и качеству груз перевозчику со
всеми необходимыми документами.
Груз перевозится перевозчиком в пункт
назначения город Усть-Каменогорск (грузовая
железнодорожная станция - код Защиты ECP
713007), Казахстан.
Стоимость оплачивает покупатель.
Продавец должен предоставить Покупателю
включая, но не ограничиваясь, оригиналы

destination.
4.5 If the result of the control quality and
quantity of goods indicates that it is ineligible
to the requirements of the contract, the
seller must pick up the products at their
expense or replace the it, or may agree on
new price
4.6 If, within three weeks from date when
the Buyer states the claim, the Seller don’t
takes no action, the Buyer sells the product
at its sole discretion without any payment.
Partial shipment and transshipment allowed.
TIME OF DELIVERY
Delivery of the products are made by the
separated shipments during the term of the
Contract.
Quantity of products in each shipments,
delivery dates are stipulated additionally
between the Seller and the Buyer by fax,
mail or e-mail, and indicated in the
Procurement request of products (appendix
No.1 Contract).
Delivery of products is carried out during
period written into the Procurement request.
TERMS OF DELIVERY
A delivery of products is made by any means
of transport on terms and conditions
Incoterms 2010.
The seller hands over the quantity and
quality of the cargo to the carrier with all the
necessary documents.
The carrier will be delivered cargo into
destination Ust-Kamenogorsk city (freight
railway station is Zashchita code ECP
713007), Kazakhstan.
The freight cost is paid by the buyer.
The Seller shall provide to the Buyer
including but not limited to the following in

Копии указанных документов Продавец

Покупатель в течение трех дней, с даты

УПАКОВКА И МАРКИРОВКА
Продукция упаковывается в транспортный
пакет (упаковка из мягкой плотной
пропиленовой ткани сумки типа БИГ-БЭГ,
поддон, ящик, евро палета и т.п.), так, чтобы
обеспечить при обращении с грузом его
сохранность во время транспортировки.
Стоимость упаковки и тары входит в стоимость
продукции.
ПРИЕМКА ПРОДУКЦИИ
Приемка продукции по количеству и качеству
производится по инструкции Покупателя.
Продавец гарантирует качество товаров и их
осмотр перед отгрузкой и имеет
соответствующий сертификат для
предоставления Покупателю.
ПОРЯДОК РАЗРЕШЕНИЯ СПОРОВ
9.1 Стороны будут стремиться решать все

the invoice;
the bill of lading;
the packing list;
the MSDS safety sheet;
the Certificate of Origin.
Copies of the documents Seller send to the
Buyer by email no later than the next day
after product shipment
Buyer test of the products within three days

transfer of property rights, as well as the risk
of accidental loss of or damage to the goods
is the date of transfer of the products to the

7. PACKAGING AND LABELLING
Products are packed in the transport package
(package from upholstered dense propylene
fabric bags type BIG- BAG, pallet, box, euro
pallet, etc.) in such a way as to ensure the
proper treatment of cargo its safety during
long distance transport.
The cost of packing and packaging is
included in the price of the products.
8. ACCEPTANCE OF PRODUCTS
Acceptance of the products by quantity and
quality produced according the instructions
of the Buyer.
The Seller shall guarantee the quality of the
goods and have them inspected before
shipment and have the relevant certificate to
provide to the Buyer.
9. DISPUTE RESOLUTION
9.1. The Parties will seek to resolve all

9.2. В случае невозможности достижения
соглашения, разрешение Сторонами спорных
вопросов касательно надлежащего исполнения
обязанностей по настоящему Договору
производится в претензионном порядке в
письменной форме. Срок ответа 30 дней.
Момент предъявления претензии является
дата уведомления по факсу или по e-mail.
9.3. В случае невозможности урегулирования
разногласий в претензионном порядке,
Стороны могут предъявить иск в Sultan Arbitration Mission in VKO,

9.4. Все споры, разногласия и требования,
возникающие из настоящего Договора или в
связи с ним, в том числе, касающиеся его
исполнения, нарушения, прекращения или
недействительности, подлежат
окончательному разрешению в арбитражном
суде в соответствии с его Регламентом,
составом арбитража в количестве одного
арбитра, на русском языке согласно нормам
материального права РК.
9.6. Если Стороны не смогут договориться
самостоятельно по вопросам качества
продукции, приведенных в сертификатах, то
привлекается независимая организация.

9.6.2. Экспертиза независимой экспертной
организацией проводится за счет Покупателя,

9.4. All disputes, disagreements and
requirements arising from or in connection
with this Treaty, including its execution,
violation, termination or invalidation, are
subject to final resolution in the arbitration
court in accordance with its Regulation, the
composition of arbitration in the number of
one arbitrator, in Russian language in
accordance with the rules of material law of
the Republic of Kazakhstan.
9.6. If the parties are unable to agree on
their own on the quality of the products
delivered the certificate, it engaged an
independent expert organization.

9.6.2. Examination by an independent expert

9.7. Решение о возможных способах
компенсации отклонений по качеству и
количеству и другим вопросам возмещения
ущерба, рассматриваются Продавцом и
Покупателем, оформляются соответствующим
соглашением в срок не позднее месяца с
момента получения решения экспертной
организации и предъявления документов.
10 ОТВЕТСТВЕННОСТЬ ЗА НЕИСПОЛНЕНИЕ
ОБЯЗАТЕЛЬСТВ
В случае задержки оплаты Покупателем
Продукции больше срока, предусмотренного
Договором, Покупатель, сверх стоимости
продукции, оплачивает Продавцу пеню в
размере 0,1% от стоимости продукции за
каждый день задержки, но не более 5% (пяти)
от суммы оплаты, за поставляемую
продукцию. Оплата производится при условии
подписания взаимного соглашения Сторон.
В случае неисполнения сроков по подготовке
Продукции к отгрузке Продавец оплачивает
Покупателю пеню в размере 0,1% от
стоимости, не подготовленной по
согласованной спецификации продукции, за
каждый день задержки, но не более 5% (пяти)
от стоимости продукции, не подготовленной к
отгрузке в оговоренные сроки. Оплата при
условии подписания дополнительного
соглашения Сторон.
11 ОБСТОЯТЕЛЬСТВА НЕПРЕОДОЛИМОЙ СИЛЫ
11.1. В случае возникновения обстоятельств
непреодолимой силы: забастовок, военных
действий, блокады, решений компетентных
правительственных органов, пожара,
наводнения, урагана, землетрясения, бури,
запрещения на экспорт или задержек на пути
следования груза или других обстоятельств, не
зависящих от действий Сторон по исполнению
настоящего Договора и создающих
невозможность для Продавца поставить
продукцию и для Покупателя получить её,
выполнение потерпевшей Стороной своих

9.7. A Decision on possible ways of
compensation of deviations in quality and

10 RESPONSIBILITY FOR IMPROPER
PERFORMANCE OF OBLIGATIONS
In case of delayed payment by the Buyer of
products more than the term provided by
Contract, the purchaser over and above the
cost of production, the Buyer pays the
penalty of 0.1% of the cost of production for
each day of delay, but no more than 5% (five)
of the amount paid for the products.
Payment is subject to signing a mutual
complementary Contract of the Parties.
In the event of failure to comply with the
time limits for the preparation of products
for shipment the Seller pays the Buyer a
penalty of 0.1% of the cost is not prepared
according to the agreed specifications for
each day of delay, but no more than 5% (five)
of the cost of production, is not prepared for
shipment within a stipulated time frame.
Payment is subject to signing a mutual
complementary Contract of the parties.
11 FORCE MAJEURE
11.1. In case of force majeure: strikes, war,
blockade, the decisions of the competent
governmental authorities, fire, flood,
hurricane, earthquake, storm, the prohibition
on the export of or delays in transit cargo or
other circumstances beyond the control of
the parties, on the execution of this Contract
and make the Buyer's inability to deliver the
products and for the buyer to get it, the
victim of their obligations hereunder is
deferred until the termination of the above
circumstances. The party is considered to be

освобождается от выполнения обязательств по
Договору, если она сразу извещает другую
Сторону о случае форс-мажор.
11.2. Сторона, которая не может выполнить
свои обязательства по причине обстоятельств
непреодолимой силы, обязана уведомить
другую Сторону в письменном виде в
кратчайший срок после их возникновения, но
не позднее 15 дней, и направить заверенное
компетентным органом заказное письмо.
12 ДОПОЛНИТЕЛЬНЫЕ УСЛОВИЯ
12.1. Любые изменения и дополнения к
настоящему Договору действительны только в
том случае, если выполнены в письменной
форме и подписаны полномочными
представителями Сторон.
12.2. Ни одна из Сторон не имеет права
передавать свои права и обязанности по
настоящему Договору никакой третьей
стороне, кроме законных правопреемников.
12.3. Настоящий Договор составлен в 2-х
экземплярах, каждый является оригиналом и
обладает полной юридической силой.
По одному у Продавца и у Покупателя.
12.4. После подписания Договора все
предыдущие переговоры и переписка,
предшествующие ему, недействительны.
12.5. Текст Договора, изменения и дополнения
к нему, документы по его исполнению,
переданные факсимильной или электронной
связью действительны, если подлинники
документов будут переданы по почте,
курьером или иным способом позже.
12.6. Этот Договор составлен в русской и
английской версиях. В случае конфликта
между этими версиями будет определяющей
английская версия.
13 СРОК ДЕЙСТВИЯ ДОГОВОРА
13.1. Договор вступает в силу с момента
подписания Сторонами и действует до
30.09.2021г.

11.2. Party that is unable to meet its
obligations due to force majeure shall notify
the other party in writing as soon as possible
after their emergence, no later than 15 days
and to send a certified letter, certified by the
competent authority.
12 ADDITIONAL TERMS AND CONDITIONS
12.1. Any changes or additions to the present
Contract are only valid if made in writing and
signed by authorized representatives of both
Parties.
12.2. Neither party may assign its rights and
duties under this Contract to any third party,
in addition to their legal successors.
12.3. This Contract is made in 2 copies, each
instance is original and full legal force.
One original to be held by Seller and by
Buyer.
12.4. After the signing of the Contract all
previous negotiations and correspondence
preceding become invalid.
12.5. The text of the Contract, changes and
additions to it, documents on its execution,
sent facsimile or electronic communication
are valid, if the originals of these documents
will be sent by mail, courier or in any other
way.
12.6. This Contract is made in English,
Russian versions. In case of conflict between
those versions, the English version will be
decisive.
13 THE DURATION OF THE CONTRACT
13.1. Contract shall become effective when it
are signed and stamp by both Parties and
shall be valid till 30.09.2021.

Область применения: Настоящий технические условия распространяется на лом и
отходы меди и сплавов, предназначенные для производства цветных металлов и сплавов
и других видов продукции.

Waste and scrap products of nonferrous metals and alloys can be divided according to their
physical characteristics — into classes; in chemical composition — the Group; on indicators of
quality — varieties in accordance with table.

2.1.1. Scrap and waste products of nonferrous metals and alloys, the first varieties are the raw
materials for metallurgical reconfiguration without requiring processing. Breakage and waste
products of nonferrous metals and alloys one metal, one species, one group class and grade
one class mixed with scrap and waste of non-ferrous metals and alloys of another metal,
another class, another group, brands or varieties.
Лом и отходы цветных металлов и сплавов первых сортов являются сырьем,
подготовленным к металлургическому переделу, не требующим первичной обработки.
Лом и отходы цветных металлов и сплавов одного металла, одного вида, класса, одной
группы и марки сплава, одного сорта не допускается смешивать с ломом и отходами
цветных металлов и сплавов другого металла, другого класса, другой группы, марки или
сорта.
2.1.2. The assignment of a scrap and waste products of nonferrous metals and alloys to produce
classes visually facially, groups and classes — or analysis conducted by spectral and chemical

Отнесение лома и отходов цветных металлов и сплавов к классам производят визуально по
внешним признакам, к группам и сортам — или анализу, проведенному спектральным или
химическим методом.

По соглашению с потребителем допускается сдача лома и отходов (отдельных кусков,

ferrous metals and alloys.
Не допускаются сбор, заготовка и переработка радиоактивных лома и отходов цветных
металлов и сплавов.

2.3. Scrap and waste products of nonferrous metals and alloys for easy transportation and use
may be pressed into briquettes. Sizes of briquettes in the table 1.
Лом и отходы цветных металлов и сплавов для удобства транспортировки и
использования могут быть спрессованы в брикеты. Размеры брикетов в таблице 1.
2.4. Scrap and waste products of nonferrous metals and alloys in coils, rolls, bundles,
briquettes must be linked. Number of studs and their cross-section must comply with safe
transportation.
Лом и отходы цветных металлов и сплавов в бухтах, рулонах, связках, брикетах должны
быть увязаны. Количество обвязок и их сечение должны соответствовать требованиям
безопасной транспортировки.
2.5. Prepared by scrap put on pallets, pallets or other suitable for mechanized loading and
unloading.
Подготовленный лом помещают на поддоны, паллеты или другое, подходящее для
механизированной погрузки – выгрузки.

3.1. Scrap and waste products of nonferrous metals and alloys take parties. The party must
consist of one scrap metal one kind of name, class, one group or grade one class, is sent to one
address, and must be accompanied by:

Партия должна состоять из лома и отходов одного наименования металла одного вида,
класса, одной группы или марки сплава, одного сорта, отправляемого в один адрес, и
должна сопровождаться:
3.1.1. one document about quality (passport);
одним документом о качестве (паспортом);
3.1.2. certificate of explosion protection which draw in four copies: two direct transport Office,
one of which is fixed in a conspicuous place in the vehicle; third copy direct to the consumer;
the fourth remains at the company sending the breakage and waste products of nonferrous
metals and alloys;
удостоверением о взрывобезопасности, которое оформляют в четырех экземплярах: два
направляют транспортному ведомству, один из которых закрепляют на видном месте в
транспортом средстве; третий экземпляр направляют потребителю; четвертый остается
на предприятии, отправляющем лом и отходы цветных металлов и сплавов;
3.1.3. When checking the explosion party conduct continuous monitoring
При проверке партии на взрывобезопасность проводят сплошной контроль;
3.1.4. Party must have Passport MSDS
3.1.5. Партия должна иметь паспорт MSDS.
3.1.6. Testing a breakage and waste products of nonferrous metals and alloys for any pollution
produced in conformity with the standards and regulations of the country of the supplier.
Испытания лома и отходов цветных металлов и сплавов на любые загрязнения
производятся в соответствие со стандартами и правилами страны Поставщика.
3.1.7. In case of disagreement in the assessment of the quality of a breakage and waste products
of nonferrous metals and alloys assessment on the sample chosen in the presence of a
representative of the provider, in the laboratory of unbiased organization.
В случае возникновения разногласий в оценке качества лома и отходов цветных металлов и
сплавов оценку проводят по пробе, отобранной в присутствии представителя поставщика, в
лаборатории незаинтересованной организации.
